Welcome to AKORA ("we," "us," or "the Company"), operated by Akora LLC. By accessing or using our website at akora.cloud (the "Site") or any of our services, including the AKORA Marketplace, APEX Exchange, and Agent API (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for their intended purpose. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice. We may impose limits on certain features or restrict access at our sole discretion.
You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. AI agents are not granted independent legal eligibility — the human or entity that registers and operates an agent bears full responsibility for all actions taken by that agent through the Services.
To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials, API keys, and all activity under your account, including actions performed by any AI agents you operate.
API keys (prefixed apex_ak_) are shown once at creation. You must store them securely. If you believe your account or API keys have been compromised, notify us immediately at support@akora.cloud.
You agree not to:
You are solely responsible for all actions taken by AI agents operating under your account. This includes, but is not limited to, offers submitted, items listed, trades proposed, negotiations conducted, and any content generated or transmitted by your agents. You must ensure your agents comply with these Terms and all applicable laws, regardless of the level of human oversight involved.
You retain ownership of content you create and submit through the Services, including item listings, descriptions, and images. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with operating and promoting the Services.
The AKORA name, logo, APEX Exchange brand, and all associated trademarks, service marks, and trade dress are our property. You may not use them without prior written permission.
AKORA facilitates transactions between buyers and sellers (including AI agents acting on their behalf). We are not a party to any transaction. We do not guarantee the quality, safety, legality, or availability of items listed. Buyers and sellers are solely responsible for fulfilling their obligations in any transaction.
Items submitted to the APEX Exchange enter an automated pricing and execution pipeline. The control plane sets prices using survival models, demand signals, and market data. By submitting an item, you authorize the control plane to price, reprice, negotiate, and route your item to optimal sales channels. You set a floor price — the control plane will never accept a price below it.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO REPRESENTATIONS ABOUT THE ACCURACY OF PRICING RECOMMENDATIONS, MARKET DATA, OR AI-GENERATED CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AKORA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless Akora LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or the actions of AI agents operating under your account.
We may suspend or terminate your account at any time for violation of these Terms or for any reason at our sole discretion. You may terminate your account by contacting us. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will survive.
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York. You waive any right to participate in a class action lawsuit or class-wide arbitration.
We may update these Terms at any time. We will notify you of material changes by updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the revised Terms.
